The arbitrator will apply Wyoming substantive law, excluding its conflict-of-law rules.
This agreement does not prevent either party from seeking provisional remedies from a court of appropriate jurisdiction.
The parties acknowledge that this agreement relates to a transaction involving interstate commerce. The Federal Arbitration Act, 9 U.S.C. §§ 1–16, will govern the arbitration regardless of any otherwise applicable state law.
Class Action Waiver
To the fullest extent permitted by law, any proceeding—whether conducted in arbitration or in court—will take place only on an individual basis and not as a class, consolidated, or representative action.
If a claim proceeds in court rather than arbitration, both parties waive the right to a jury trial in any action related to this agreement or any transaction contemplated by it.
Arbitration Award
The arbitrator may award monetary damages and any other remedies permitted under Wyoming law but may not modify the terms of this agreement.
The arbitrator will provide a written decision, referred to as the “Award,” to both parties. Both parties must promptly comply with the Award.
The Award may be confirmed or enforced in any court with jurisdiction over the parties or their assets. The arbitrator’s decision will be final, binding, and not subject to appeal, except as otherwise permitted by applicable law.
Arbitration Costs
Each party will share equally the costs of:

Court reporter expenses

The arbitration facility
The prevailing party may be awarded reasonable attorneys’ fees and costs. Any award may be offset by opposing costs or fees awarded during the arbitration.
Confidentiality
The parties will maintain the confidentiality of the arbitration, including the hearing and the Award, except when disclosure is necessary to:

Prepare for or conduct the arbitration

Seek preliminary or provisional remedies

Confirm or enforce the Award

Comply with applicable law
Documentary evidence produced during arbitration will be treated as confidential unless disclosure is required by law or the information is otherwise available in the public domain.
9. Miscellaneous Terms
By agreeing to these terms, you confirm that you have the necessary rights, power, and authority to enter into this agreement and that no other agreement conflicts with these terms.
The failure of either party to exercise or enforce any right under these terms will not be considered a waiver of that right or any other right in the future.
If any provision of these terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable. The remaining provisions will continue in full force and effect.
We reserve the right to modify or update these terms at any time. It is your responsibility to review these terms periodically. Your continued participation in the program after changes are posted constitutes your acceptance of the updated terms.
